TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PIZZA LUCE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR SIMILAR DAMAGES, INCLUDING BUT NOT LIMITED TO:

IN NO EVENT SHALL PIZZA LUCE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO PIZZA LUCE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN THEIR ENTIRETY. IN SUCH JURISDICTIONS, PIZZA LUCE'S LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.
7. Disclaimers
7.1 As-Is Basis
THE SITE AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. For any disputes not subject to the arbitration provision below, you agree to submit to the personal jurisdiction of the state and federal courts located in the applicable jurisdiction of Pizza Luce's principal place of business.

10. Dispute Resolution
10.1 Informal Resolution
Before initiating any formal dispute, you agree to first contact Pizza Luce in writing at [email protected] and provide a detailed description of the dispute, your desired resolution, and your contact information. The parties agree to attempt to resolve any dispute informally for a period of thirty (30) days from the date of receipt of the written notice. If the parties are unable to resolve the dispute informally within that period, either party may proceed to formal dispute resolution as set forth below.
10.2 Binding Arbitration
Except for disputes that qualify for small claims court, and except as otherwise provided herein, all disputes arising out of or in connection with these Terms, including disputes relating to their formation, interpretation, breach, or termination, shall be resolved through final and binding individual arbitration. The arbitration shall be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall take place in the county or city where Pizza Luce's principal place of business is located, unless otherwise mutually agreed upon by the parties or required by the AAA rules.
10.3 Class Action Waiver
YOU AND PIZZA LUCE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. UNLESS BOTH YOU AND PIZZA LUCE AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS, AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.
10.4 Exceptions to Arbitration
Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information. Any such action shall not waive either party's right to arbitration on other issues.
10.5 Arbitration Fees
Payment of all filing, administration, and arbitrator fees will be governed by the AAA's applicable rules. If your claim does not exceed $10,000 USD, Pizza Luce will pay all such fees unless the arbitrator finds that your claim is frivolous or was brought for an improper purpose.
11. Term and Termination

These Terms are effective as of the date you first access or use the Services and shall remain in full force and effect for as long as you continue to access or use the Services, unless earlier terminated in accordance with these Terms.
11.2 Termination by You

Pizza Luce shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is caused by events beyond Pizza Luce's reasonable control, including but not limited to natural disasters, acts of God, war, terrorism, riots, civil unrest, government actions, labor disputes, pandemic, epidemic, internet or telecommunications failures, power outages, or any other circumstances beyond our reasonable control (each, a "Force Majeure Event"). In the event of a Force Majeure Event, Pizza Luce will make reasonable efforts to notify you and resume performance as soon as practicable.
